Lawmakers receive petition accusing CAC chief of altering firms’ records

The House of Representatives has received a petition alleging that the Registrar-General of the Corporate Affairs Commission, Hussaini Ishaq Magaji, SAN, unlawfully altered the corporate records of Jonah Capital Nigeria Ltd and Houses for Africa Nigeria Ltd. The petition, laid by Hon. Muktar Shagaya, accused the CAC of “unlawful expropriation of shares, extrajudicial removal of directors, and retrospective invalidation of corporate filings,” despite existing court actions and directives from the Attorney-General.

According to Kojo Ansah Mensah, CEO of JonahCapital Nigeria Ltd, the Registrar-General “unlawfully altered” the ownership structure of both companies on December 8, 2025, even after being served with originating summons. Mensah alleged that new directors immediately moved to close company bank accounts and notified authorities of a takeover, actions he described as attempts to disrupt operations. He insisted the investors had complied with all legal processes and warned of a dangerous precedent.

Houses for Africa Nigeria Ltd earlier disowned claims by Dr. Adeniran Ogunmuyiwa, stating he ceased to be a shareholder years ago. The firm said the CAC’s intervention, rival directorship claims, and conflicting lawsuits have deepened the River Park Estate dispute, one of Nigeria’s most complicated corporate governance battles. Industry observers warn that the controversy could undermine investor confidence amid allegations of forgery, sabotage, and politically backed corporate takeovers.
